These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and West Village Technology Inc. ("Company," "we," "us," or "our"), the operator of Music Industry Community ("MIC" or the "Platform"), accessible at musicindustrycommunity.com and through associated mobile applications.

By creating an account, accessing, or using MIC in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines, which are incorporated herein by reference.

If you do not agree to these Terms, you must not access or use the Platform.

"User Content" means any text, images, videos, audio, music, or other material you upload, post, share, or transmit through the Platform, including but not limited to: posts, comments, profile information, bios, photos, videos, event listings, reviews, and messages.

You retain ownership of your User Content. We do not claim ownership of any content you submit to the Platform.

4.2 License Grant

By posting User Content on MIC, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform your User Content solely in connection with operating and providing the Platform. We use automated systems (including AI-based text and image analysis) and human review to moderate User Content. We reserve the right to remove, restrict, or flag any content that violates these Terms or our Community Guidelines, at our sole discretion and without prior notice. We are not obligated to monitor all content but may do so at our discretion.

5. Platform Features & Services

MIC provides various features including but not limited to:

5.1 MIC Curated Playlists

MIC may operate one or more curated playlists on third-party streaming services, including Spotify (each, a "MIC Playlist"). MIC Playlists are editorial products selected and maintained at MIC's sole discretion.

6. SMS / Text Messaging

MIC may offer SMS (Short Message Service) or MMS (Multimedia Messaging Service) communications to users who opt in. By providing your mobile phone number and consenting to receive text messages, you agree to the following terms:

By opting in to SMS, you expressly consent to receive recurring automated text messages from Music Industry Community (West Village Technology Inc.) at the mobile number you provide. Consent is not a condition of purchasing any goods or services or using the Platform.

Message frequency varies. You may receive up to 10 messages per month, though frequency may increase during active booking periods or promotional campaigns.

6.4 Opt-Out

You may opt out of SMS at any time by replying STOP to any message. You may also update your preferences in your Account settings. After opting out, you will receive one final confirmation message. Opting out of SMS does not affect other communications (email, push notifications, or in-app messages).

6.6 Rates and Carriers

Message and data rates may apply depending on your mobile carrier and plan. We are not responsible for any charges assessed by your carrier. SMS services may not be available on all carriers or in all areas.

Your phone number will not be shared with third parties for their marketing purposes. We may share your number with our SMS service provider solely to deliver messages on our behalf. See our Privacy Policy for full details on how we handle your personal information.

7. Subscriptions & Payments

7.1 Subscription Tiers

MIC offers free and paid subscription tiers (Silver, Gold, Platinum). Paid subscriptions provide access to additional features as described on our Pricing page. Feature availability may change between tiers at our discretion.

We may, at our sole discretion, offer paid features or subscription tiers at no cost — in whole or in part — through promotional, marketing, beta, or founding-member campaigns, for a limited or ongoing period. Complimentary access confers no ongoing entitlement and may be modified, conditioned, or discontinued at any time.

7.2 Billing

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle.

7.3 Cancellation

You may cancel your subscription at any time through your Account settings or the Stripe customer portal. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except as required by applicable law.

7.4 Price Changes

We may change subscription prices with at least 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

9.1 Our Property

The Platform, including its design, features, code, branding, logos, and documentation, is owned by West Village Technology Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our written permission.

9.2 DMCA / Copyright Complaints

If you believe content on MIC infringes your copyright, you may submit a takedown notice to our designated agent at: legal@musicindustrycommunity.com. Your notice must include:

We will respond to valid DMCA notices by removing or disabling access to the allegedly infringing material. If you believe your content was wrongly removed, you may submit a counter-notification to the same address with the same information plus a statement under penalty of perjury that you have a good faith belief the material was removed by mistake.

9.3 Repeat Infringer Policy

In accordance with the DMCA, we maintain a policy of terminating the accounts of users who are repeat infringers of copyright. If a user receives multiple valid DMCA takedown notices, their account will be suspended or permanently terminated at our discretion.

10. Termination

10.1 By You

You may delete your account at any time through your Account settings. Upon deletion, your profile and content will be removed from public view. Some data may be retained as required by law or for legitimate business purposes (e.g., transaction records, legal compliance).

10.2 By Us

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination include but are not limited to: violation of these Terms, violation of Community Guidelines, fraudulent activity, extended inactivity, or legal requirements.

10.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination will survive, including: intellectual property provisions, disclaimers, limitations of liability, and dispute resolution.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

MIC is a platform for connection and communication. We are not a party to any agreements, bookings, or transactions between users. We do not guarantee the identity, qualifications, or reliability of any user.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEST VILLAGE TECHNOLOGY INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless West Village Technology Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

14.2 Informal Resolution

Before filing any formal dispute, you agree to first contact us at legal@musicindustrycommunity.com and attempt to resolve the dispute informally for at least 30 days.

14.3 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Delaware. You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.

14.4 Exceptions

Either party may seek injunctive relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Platform.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

If you do not agree to modified Terms, you must stop using the Platform and may delete your account.
